Communication with Shareholders and Investors

We strive to achieve sustainable growth and enhance corporate value in the medium to long term through highly transparent and reliable disclosure as well as sincere communication.

Disclosure of Corporate Information

At Dexerials, we believe that timely and appropriate disclosure to shareholders and investors is essential for ensuring transparency and fairness in decision-making and supporting effective corporate governance. Such disclosure also plays a key role in promoting understanding of Dexerials and achieving fair market valuation, which contributes to the sustainable enhancement of corporate value.
Beyond statutory disclosure, we proactively share financial and non-financial information through our website and other channels to deepen understanding of the Company and its businesses. We also strive to maintain a highly transparent and trustworthy disclosure framework.

Promotion of Engagement

When holding dialogue with our investors, we designate representatives based on the investors’ policies, attributes, and discussion topics. In addition, we provide opportunities for senior management, including the president, to engage directly with investors and shareholders both within and outside Japan, alongside our IR representatives.
We are actively committed to these engagement activities as a way to improve our medium- to long-term corporate value and achieve sustainable growth. For example, we endeavor to build understanding through our communication with investors by thoroughly explaining our thoughts, while any feedback from investors is discussed by members of the Board of Directors.

Profit Return

At Dexerials, we position the return of profits to our shareholders as one of our most important management priorities. For the period from fiscal 2024 to fiscal 2028, we will implement proactive growth investments and appropriate profit distribution in line with the capital allocation and capital policy defined in Mid-Term Management Plan 2028 “Achieving Evolution.” Through this approach, we aim to balance sustained growth with a high level of shareholder returns.

General Meeting of Shareholders

When holding the Annual General Meeting of Shareholders, we provide a wide and fair range of information to shareholders, such as requesting individual shareholders to exercise their voting rights in advance from the Internet voting site and institutional investors to exercise their voting rights on the electronic voting platform, as well as sending convocation notices early, enhancing information, and posting related materials on the website in advance. We strive to ensure that you have sufficient information and time to exercise your rights.
In addition, after the Annual General Meeting of Shareholders, we host tours featuring our products and technology exhibits for shareholders.

Internal Dissemination of Feedback

Internal IR

Dexerials also conducts internal IR activities utilizing the web-based internal newsletter “Riaru.”
We regularly disseminate information in easy-to-understand formats, encompassing topics that incorporate diverse perspectives. This includes information on capital market and related areas, our Stock Grant Plan (J-ESOP) initiatives, and the General Meeting of Shareholders.
We deploy an interview format to ensure readability and provide commentary starting from the basics in our series of articles on staff in charge of IR.

Additionally, we are implementing initiatives to increase interest in Dexerials IR undertakings by including scenes from IR activities.
In the current year, we carried an article feature on a roundtable discussion with employees who participated in visits to investors outside Japan.

Enhancing the Integrated Report through Dialogue with Institutional Investors

We are continually enhancing the content of our Integrated Report by holding individual meetings with institutional investors, both within and outside Japan, to discuss the issues and aspects of the report that require improvement.
We will continue our efforts to enhance our disclosure activities and improve our corporate value through constructive dialogue with our shareholders and investors.
